Minimizing Risk of Foreign Corruption

Increasingly, investigations of corrupt business practices are making headlines around the world. Non-compliance with foreign corruption laws can result in crippling penalties and reputational damage, the loss of license to operate, and jail time for officers, directors or employees. Mining companies must be mindful of the prevalence of improper payments in foreign government interactions such as obtaining licenses and other regulatory approvals, environmental compliance certifications, customs and immigration issues, vehicle registration and licensing and freight forwarding.
This course will provide current information about the Corruption of Foreign Public Officials Act (Canada), Foreign Corrupt Practices Act (US) and other international laws and conventions, give an update on recent cases and law enforcement trends in the fight against foreign corruption and will provide practical, business-focused solutions for mining companies to minimize their risk of non-compliance.
Securities Compliance, Disclosure, Litigation Risk: Protect Your Company and Yourself

The mining sector is particularly vulnerable to securities class actions, partly because of the mandatory forward looking disclosure required under securities regulation. Whether you face regulator inquiries, litigation, or shareholder complaints about governance or process, you can minimize risk and potential loss by being aware of potential pitfalls and early strategic responses to problems and threats.
This session will examine early trends and strategic considerations in securities class actions and 'global' classes and cross-border factors. We will discuss the latest update on how the courts are treating director and officer liability and how to get best protection through insurance and indemnification. This will be a pragmatic session outlining compliance factors in the securities realm and best practices to resolve regulatory problems and law suits, especially class actions, cost effectively when they arise.

Micromine Short Courses
Micromine North America is pleased to offer 4 short courses free of charge to delegates of the 2011 Roundup on January 24 and 27. Space is limited to 10 participants per course and attendees will be required to provide a laptop computer. This course will outline Micromine features and how to use this software on real data with “hands-on” training. A course manual and security dongle will be provided to participants for the duration of the course only.
